AUREXIS — TERMS & CONDITIONS

These Terms & Conditions ("Terms") are a legal agreement between you and AUREXIS AI PRIVATE LIMITED ("Aurexis," "we," "us," or "our") governing your access to and use of aurexis.app (the "Site") and the Aurexis opportunity-to-reality engine and related services (together, the "Services").
By requesting access to, creating an account for, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you merely browse the Site without requesting access or using the Services, you are bound only by the acceptable-use and intellectual-property provisions (Sections 5 and 8).
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
2. The Services, and their current stage
Aurexis is a single, end-to-end engine that takes you from a profile of who you are to a real, deployed product, across seven stages — Profile, Discover, Blueprint, Forge, Sentinel, Dashboard, Studio — with a Deploy step that promotes the verified build to a live URL between Sentinel and Dashboard. It is one unified product, not a suite of separately sold tools.
Early access / prototype. The Services are offered on an early-access basis and are under active development. Some capabilities are intentionally limited in the current version, and the Site may present illustrative material clearly labeled as a prototype or sample. Features may change, pause, or be discontinued. We do not guarantee that any particular feature will be available, uninterrupted, or error-free.
3. Accounts and access
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of any access credentials, and for all activity under your account. Notify us promptly of any unauthorized use. We may grant, limit, suspend, or revoke access at our discretion, including to protect the Services or comply with law.
4. Runs, third-party builders, and credits
Running the engine causes real actions with third-party providers. When you trigger a run, you authorize Aurexis to, on your behalf: call AI providers; fetch public market signal; build your application through an external builder (v0 by Vercel); create a real, public production deployment at a live URL; run live web searches; and store generated source and run records. A run may consume build/credit allowances and create publicly accessible resources. You are responsible for reviewing what a run produces and for anything you choose to publish or keep live.
5. Acceptable use
You agree not to: (a) use the Services to build, deploy, or promote anything unlawful, infringing, harmful, deceptive, or that violates a third party's rights; (b) attempt to reverse-engineer, disrupt, overload, or gain unauthorized access to the Services or their providers; (c) misuse the AI features to generate malicious code, spam, or content that violates the acceptable-use policies of our underlying providers; (d) remove or obscure honesty labels, source stamps, or "no data yet" states; or (e) resell or misrepresent the Services. We may remove content or suspend access for violations.
6. Your content and generated output
- Your content. You retain all rights to the information and materials you submit ("Your Content"). You grant Aurexis a limited, worldwide, royalty-free license to host, process, and transmit Your Content solely to operate the Services and to perform your runs. We do not use Your Content or your profile intake to train AI models or to improve the Services beyond what is needed to deliver your result (consistent with our Privacy Policy).
- Generated output. Subject to these Terms, your payment of any applicable fees, and the terms of the third-party builders and providers involved, as between you and Aurexis, the specifications, code, and applications generated for you through a run ("Generated Output") are yours to use. You are solely responsible for the Generated Output, including reviewing, testing, securing, licensing, and operating any application you deploy, and for its compliance with applicable law.
- Responsibility for deployed apps. Applications you build and deploy are operated by you. Aurexis is not responsible for their content, security, availability, or the way they handle end-user data.
7. AI output, measurements, and honest limits
The Services rely on AI and on real, but limited, measurements. You acknowledge and agree that:
- AI output may be wrong. Generated profiles, opportunities, blueprints, and code may contain errors, omissions, or unsuitable suggestions. Review before you rely on them.
- "Nothing is simulated" describes honesty of measurement, not a guarantee of outcomes. It means the figures we show are drawn from real fetches, scans, or probes (or marked absent) — it does not guarantee business success, market demand, revenue, or security.
- Opportunity signal is scoped. Discover measures developer-ecosystem signal (for example repository activity and stars), not dollar market size, and does not guarantee any commercial result.
- Security scanning is heuristic. The Sentinel stage uses real scanners but is not exhaustive. A high score means "nothing these scanners caught," not "proven secure." You remain responsible for the security of anything you ship.
- Not professional advice. The Services, and any related materials (including any fundraising or program information), are informational only and are not legal, financial, investment, tax, or professional advice.
8. Intellectual property
The Services, the Site, the Aurexis name and logo, and all related software, designs, and content (excluding Your Content and Generated Output) are owned by Aurexis or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. You may not copy, modify, distribute, or create derivative works of the Services except as expressly permitted.
9. Third-party services
The Services integrate third-party providers, including Anthropic, v0 by Vercel, GitHub, Supabase, and (optionally) Perplexity. Your use of features powered by these providers may also be subject to their terms and policies. We are not responsible for third-party services, and their availability or terms may change.
10. Fees
Some features may be free during early access. If we introduce paid plans or pass through third-party build/deployment costs, we will present the applicable fees and terms before you incur them.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that the Services, AI output, opportunities, security scans, or deployed applications will meet your requirements or produce any particular result. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including your mandatory rights as a consumer.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUREXIS AND ITS FOUNDERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR (b) ₹10,000 (approximately USD 120).
This limitation does not apply to: (i) liability that cannot be excluded under applicable law; (ii) either party's liability for death or personal injury caused by its negligence, fraud, or willful misconduct; or (iii) your indemnity obligations in Section 13. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnification
You agree to indemnify and hold Aurexis harmless from third-party claims, damages, and expenses (including reasonable legal fees) arising from: (a) Your Content or your Generated Output; (b) applications you build, deploy, or operate; (c) your violation of these Terms or applicable law; or (d) your infringement of a third party's rights.
This indemnity does not apply to the extent a claim is caused by Aurexis's own negligence, breach of these Terms, or defective Services. As conditions of indemnity, we will: give you prompt written notice of the claim; allow you to control or participate in the defense with counsel of your choice; and not settle a claim in a way that imposes a non-monetary obligation on you without your consent.
14. Term, suspension, and termination
These Terms apply while you use the Services. You may stop at any time. We may suspend or terminate your access, with or without notice, for violation of these Terms, to protect the Services or others, or if we discontinue the Services.
Effect of termination. On termination, we may deactivate your access and, subject to the Privacy Policy and applicable law, delete or anonymize your personal data and run records after any stated retention period. You are responsible for exporting or preserving anything you wish to keep, and for the ongoing operation, security, or removal of any application you deployed — a live deployment created by a run does not automatically shut down on termination unless we or the underlying host act to remove it. Sections that by their nature should survive termination (including Sections 6–8 and 11–17) will survive.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection rights, the courts at Faridabad, Haryana, India will have exclusive jurisdiction over disputes arising from these Terms.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.
17. Miscellaneous
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including third-party provider outages (for example Anthropic, v0/Vercel, GitHub, Supabase, or Perplexity), internet, hosting, or infrastructure failures, acts of government, or other force-majeure events.
Notices. We may give you notice by email to the address associated with your request or account, or by posting on the Site; such notice is deemed given when sent or posted. You may contact us at founder@aurexis.app.
General. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Aurexis regarding the Services.
